3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong, unique passwords and enabling multi-factor authentication

4. Acceptable Use

4.1 Permitted Uses

You may use the Services for:

• Academic publication preparation
• Clinical data analysis within appropriate ethical and legal frameworks
• Educational purposes

4.2 Prohibited Uses

You must not:

5. Data Ownership & Intellectual Property

5.1 Your Data

You retain all ownership rights to the data you upload to our Services. By uploading data, you grant us a limited license to process that data solely to provide the Services to you.

5.2 Generated Content

Content generated by our AI tools (drafts, analyses, visualizations) based on your data belongs to you, subject to:

• Proper attribution to MedTWIN AI where appropriate
• Compliance with your institution's policies on AI-assisted research
• Your responsibility to verify accuracy before publication

5.3 Our Intellectual Property

The Services, including software, algorithms, models, user interface, documentation, and trademarks, are owned by MedTWIN AI and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without permission.

6. Payment Terms

6.1 Pricing

Our pricing is based on Usage Coins (credits) and subscription tiers as described on our pricing page. Prices are subject to change with 30 days' notice.

6.2 Billing

• Subscriptions are billed monthly or annually in advance
• Usage-based charges are billed at the end of each billing cycle
• All fees are non-refundable except as required by law

6.3 Free Tier

We offer a free tier with limited features. Free tier usage is subject to fair use policies and may be restricted if abused.

7. Service Availability

7.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. Scheduled maintenance will be announced in advance when possible.

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.3 AI Limitations

AI-generated content may contain errors or inaccuracies. You are solely responsible for reviewing and validating all outputs before use.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• We are not liable for lost profits, data loss, or business interruption
• We are not liable for any decisions made based on outputs from the Services

10. Indemnification

You agree to indemnify and hold harmless MedTWIN AI, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Data you upload to the Services

11. Termination

11.1 By You

You may terminate your account at any time by contacting support or using account settings. You will remain responsible for any outstanding fees.

11.2 By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or illegal activity
• Fail to pay fees when due
• Create security risks to our platform or users

11.3 Effect of Termination

Upon termination, your right to access the Services ceases. You may export your data for 30 days after termination, after which it will be deleted.

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration in Sydney, Australia, except that either party may seek injunctive relief in court for intellectual property violations.

14. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email and/or in-app notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
